1. Definitions

“GatePhase” refers to GatePhase Ltd (or your registered entity).
“Platform” refers to the GatePhase web application and related services.
“Customer” refers to the organization subscribing to the Platform.
“User” refers to an individual authorized by a Customer.
“Subscription” refers to a paid plan granting access to the Platform.

2. Description of Service

GatePhase is a project governance platform that enables lifecycle enforcement, approval workflows, risk tracking, financial validation, and governance oversight across native projects and integrated third-party tools.

GatePhase does not provide financial accounting, legal, or regulatory advisory services.

3. Account Registration

To use the Platform, you must:

• Provide accurate information

• Maintain account security

• Be authorized to act on behalf of your organization

You are responsible for all activity under your account.

GatePhase may suspend accounts that violate these Terms.

4. Subscription & Payment

4.1 Billing

Subscriptions are billed:

• Monthly or annually

• Per seat, as selected

Payments are processed via third-party payment providers (e.g., Stripe).

You authorize GatePhase to charge applicable fees automatically.

4.2 Founding or Promotional Plans

If you are enrolled in a Founding Partner or promotional plan:

• Discounted pricing applies only for the stated duration

• After expiration, standard pricing applies unless otherwise agreed

• GatePhase may discontinue promotional offers at its discretion

4.3 Late Payments

Failure to pay may result in:

• Suspension of access

• Termination of account

• Recovery actions as permitted by law

4.4 Refund Policy

Except where required by applicable law, all fees paid are non-refundable.

GatePhase does not provide refunds or credits for:

• Partial subscription periods

• Unused seats

• Downgrades during an active billing cycle

• Early termination

Subscriptions may be cancelled at any time, but cancellation will take effect at the end of the current billing period.

Access will continue until the end of the paid term.

5. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes

• Attempt unauthorized access

• Interfere with system integrity

• Reverse engineer or copy the Platform

• Use the Platform to harm others

GatePhase reserves the right to suspend or terminate access for violations.

6. Customer Data

6.1 Ownership

Customers retain ownership of all project data, governance data, and uploaded content.

GatePhase does not claim ownership of Customer data.

6.2 License to Operate

You grant GatePhase a limited license to process and store Customer data solely for:

• Providing the service

• Improving functionality

• Maintaining security

6.3 Data Accuracy

GatePhase does not guarantee the accuracy of third-party integration data (e.g., Microsoft Project, Planner, Jira). Customers are responsible for validating imported or synced information.

7. Integrations

The Platform may integrate with third-party tools.

GatePhase:

• Is not responsible for third-party outages

• Does not control external API limitations

• Is not liable for changes made by third-party providers

Use of third-party tools remains subject to their terms.

8. Intellectual Property

All intellectual property rights in the Platform, including:

• Software

• Governance logic

• Algorithms

• Interface design

• Branding

Remain the exclusive property of GatePhase.

No rights are granted except as expressly stated.

9. Confidentiality

Each party agrees to keep confidential information secure and not disclose it to third parties except:

• As required by law

• To authorized service providers

10. Security

GatePhase implements reasonable technical and organizational safeguards.

However, no system can guarantee absolute security.

Customers remain responsible for:

• User access control

• Credential management

• Proper configuration

11. Availability

GatePhase aims for high availability but does not guarantee uninterrupted service.

We may:

• Perform maintenance

• Update features

• Modify functionality

Reasonable notice will be provided where possible.

12. Warranties Disclaimer

The Platform is provided “as is” and “as available.”

To the maximum extent permitted by law:

GatePhase disclaims all warranties, including:

• Fitness for a particular purpose

• Non-infringement

• Error-free operation

• Accuracy of outputs

GatePhase does not guarantee specific project outcomes.

13. Limitation of Liability

To the maximum extent permitted by law:

GatePhase shall not be liable for:

• Indirect damages

• Consequential damages

• Loss of profits

• Loss of data

• Business interruption

Total liability shall not exceed:

The total fees paid by the Customer in the 12 months preceding the claim.

Nothing excludes liability where prohibited by law.

14. Indemnification

You agree to indemnify GatePhase against claims arising from:

• Misuse of the Platform

• Violation of these Terms

• Breach of law

15. Termination

Either party may terminate:

• At end of subscription term

• For material breach

Upon termination:

• Access will cease

• Data export options will be provided for a reasonable period

16. Governing Law

These Terms are governed by the laws of:

Disputes shall be resolved in the courts of that jurisdiction.

17. Modifications

GatePhase may update these Terms periodically.
